1. Scope of Services

Talent agrees to provide the services described in the Participation Details above at NH Forward Conference 2026, scheduled for November 5–8, 2026, in Atlanta, Georgia.

Services may include a keynote, panel, workshop, performance, interview, award appearance, or other mutually agreed conference activity.

Talent will arrive at the designated venue area at least sixty (60) minutes before the scheduled participation time unless otherwise agreed in writing.

Talent agrees to conduct themselves professionally and respectfully toward attendees, staff, vendors, sponsors, and other participants.

Organizer may make reasonable changes to session times, formats, stage assignments, or production logistics and will provide reasonable notice of material changes.

2. Expenses

Travel, lodging, or other expenses are reimbursable only when expressly approved in writing by Organizer.

Talent is responsible for applicable taxes arising from any payments or benefits received in connection with participation.

3. Name, Image, Likeness, Voice & Photography

Talent grants Organizer a non-exclusive, royalty-free, worldwide license to photograph, film, record, reproduce, display, and distribute Talent's name, professional biography, image, likeness, voice, and participation in connection with NH Forward Conference 2026 and its promotion, recap, press, and archival documentation.

This license applies during the Conference and for two (2) years following the final day of the Conference.

Organizer will not use Talent's likeness for unrelated commercial advertising, endorsement, or sponsorship purposes without Talent's separate written consent.

Permitted uses may include the NHFC website and registration materials, social media, email marketing, press releases, media kits, event programs, signage, recap and highlight videos, conference recordings, editorial coverage, and reasonable promotional materials identifying Talent as a participant.

Talent understands that event photography and recording may capture Talent incidentally or as part of the program. Talent does not receive a general right to review or approve photographs, recordings, or edits before publication.

4. Talent Content & Intellectual Property

Talent retains ownership of Talent's original speeches, presentations, slides, materials, trademarks, concepts, and other intellectual property supplied or presented by Talent ("Talent Content").

Nothing in this Agreement transfers ownership of Talent Content to Organizer.

Talent grants Organizer a non-exclusive, royalty-free license during the same two (2) year period to record, reproduce, edit, display, stream, distribute, and make available Talent Content solely as incorporated into Conference recordings, recap materials, promotional materials, and reasonable archival documentation of NH Forward Conference 2026.

Organizer will not sell, license, or otherwise commercially exploit Talent's presentation or Talent Content as a standalone product without Talent's separate written permission.

Talent represents that Talent has the rights necessary to present and license the Talent Content provided under this Agreement and will not knowingly infringe third-party rights.

5. Confidentiality

Confidential Information means non-public information disclosed by Organizer in connection with the Conference that a reasonable person would understand to be confidential, including non-public attendee information, sponsor terms, financial information, internal communications, and unannounced programming.

Talent will not disclose or misuse Confidential Information except as necessary to perform the Services or as required by law.

These confidentiality obligations survive for two (2) years following the final day of the Conference.

6. Cancellation & Force Majeure

Talent may withdraw without penalty by providing written notice more than twenty (20) calendar days before the scheduled participation date.

For a cancellation fewer than twenty (20) calendar days before the scheduled participation date, Organizer may recover reasonable, documented, direct, non-refundable costs specifically incurred for Talent's participation.

A failure to appear without reasonable prior notice may result in cancellation of the Talent's participation and recovery of reasonable, documented, direct costs specifically attributable to Talent's participation.

Neither Party will be liable for failure to perform caused by circumstances beyond its reasonable control, including serious illness, death of an immediate family member, natural disaster, government restrictions, travel bans, or extraordinary transportation disruptions that make performance objectively impossible.

If Organizer cancels the Conference for reasons other than Talent's breach, Organizer will have no further obligation beyond obligations already earned or expressly agreed in writing.

7. Release, Liability & Indemnification

Talent acknowledges that participation in a live event involves ordinary risks associated with travel, crowds, venue conditions, and event activities.

To the maximum extent permitted by applicable law, Talent releases the Organizer and its officers, directors, employees, agents, and contractors from claims arising from Talent's voluntary participation in the Conference, except to the extent caused by the Organizer's gross negligence, willful misconduct, or conduct for which liability cannot legally be waived.

To the maximum extent permitted by law, Organizer will not be liable for indirect, incidental, special, consequential, or punitive damages.

Talent will indemnify Organizer against third-party claims arising directly from Talent's breach of this Agreement, negligent or intentional misconduct, or infringement by Talent Content of a third party's intellectual property rights.

8. Code of Conduct

Talent agrees to comply with reasonable Conference, venue, health, safety, and security requirements. Serious misconduct, harassment, threats, or abusive behavior may result in removal from the Conference and cancellation of the Talent's participation.

9. Limited Exclusivity

Unless otherwise agreed in writing, Talent will not participate as a featured speaker, panelist, or headline performer at a directly competing conference targeting substantially the same primary audience within the Atlanta metropolitan area during November 5–8, 2026.

This does not restrict Talent's ordinary professional activities or unrelated media appearances.

10. Representations

Each Party represents that it has authority to enter into this Agreement and that doing so does not knowingly conflict with another binding obligation.

Talent represents that Talent has the rights necessary to perform the Services and grant the limited licenses described in this Agreement.

11. General Provisions

Georgia law governs this Agreement. The Parties consent to jurisdiction and venue in the state and federal courts located in Fulton County, Georgia. Before filing litigation, the Parties will attempt in good faith to resolve a dispute through written notice and negotiation for thirty (30) days and may use mediation by mutual agreement. This Agreement contains the complete agreement between the Parties concerning Talent's participation and supersedes prior discussions on the same subject. Amendments must be in writing and signed by both Parties. If a provision is found unenforceable, the remaining provisions remain in effect. Electronic signatures and counterparts are valid and enforceable. Talent is an independent contractor and is responsible for Talent's own taxes, insurance, and legal compliance.
